Terms of Service

1. Acceptance of Terms

By subscribing to and using the earnings call transcript API ("Service") provided by DREAVERR DIGITAL SOLUTIONS LLP - operating under the brand names earningscalls.dev and SGG Research (sggresearch.com) - you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

2. Service Description

The Service is a REST API platform that provides subscribers with:

  • Access to Structured Data: Subscribers gain the right to access structured datasets of earnings call transcripts, including company metadata, speaker segments, sector classifications, and full transcript texts.
  • Use of API Endpoints: Subscribers can utilize our API endpoints to query earnings data, search transcripts, filter by sector and industry, and retrieve speaker-level breakdowns.
  • Documentation & Tools: Interactive API documentation, code examples, and OpenAPI specifications provided as part of the platform's developer resources.

The API is the primary interface for accessing and interacting with structured earnings call data. Documentation and dashboard features serve as supplementary tools for managing access and exploring the dataset.

2a. Email Newsletter Service

We also offer a paid email newsletter subscription ("Newsletter Service") that delivers AI-powered earnings call analysis directly to subscribers' inboxes. The Newsletter Service includes:

  • AI-Generated Analysis: Automated summaries, key metrics, beat/miss signals, management guidance, and conclusions for recent earnings calls.
  • Delivery: Analysis emails are sent after new earnings call transcripts are processed. Frequency depends on earnings season activity.
  • Content Restrictions: Newsletter content is for personal, non-commercial use only. Subscribers may not redistribute, republish, resell, or share the analysis content with third parties without prior written consent.
  • Data Accuracy: Analysis is generated by artificial intelligence and may contain errors or omissions. It does not constitute financial advice. See Section 3 (No Financial Advice).

3. No Financial Advice

  • Informational Purposes Only: The earnings call transcripts, data, and any derived content provided through the API are for informational purposes only and should not be interpreted as financial or investment advice.
  • No Guarantee of Results: While the data is sourced and structured to support analysis and research, it does not guarantee any specific outcomes, such as financial gain or market performance.

4. Rights and Usage

  • Right to Access: Subscribers are granted non-exclusive, personal rights to access structured datasets and utilize the API endpoints provided through the platform.
  • Permitted Usage: Subscribers may use the data and API for:
    • Personal analysis and research
    • Integration into proprietary applications and internal tools
    • Decision support based on earnings call data
  • Prohibited Usage: Subscribers may not:
    • Redistribute, resell, or sublicense access to the raw data or API
    • Extract or copy large portions of the data for use outside the platform without prior written consent
    • Reverse engineer, decompile, or attempt to extract source code from the Service
    • Attempt to circumvent rate limits, authentication, or security measures
    • Use automated means to excessively burden the Service infrastructure

5. Risk Acknowledgment

  • Market Uncertainty: The financial markets are inherently unpredictable, and insights derived from earnings call data do not guarantee future outcomes.
  • Independent Research: Subscribers are encouraged to conduct independent research and validate any findings before making financial or investment decisions.
  • Personal Responsibility: Any actions taken based on the provided data or API responses are solely the subscriber's responsibility.

6. Limitation of Liability

  • No Liability for Losses: We are not responsible for any losses or damages resulting from the use of structured data, API endpoints, or insights provided by the platform.
  • No Warranty: We do not warrant the accuracy, completeness, or reliability of the data or API responses provided.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

7. Disclaimer of Warranties

The Service, including the API, structured data, documentation, and dashboard, is provided on an "as is" and "as available" basis without any warranties, express or implied.

8. Plan Quotas, Acceptable Use & Anti-Abuse

The primary enforcement metric for each tier is the monthly API request quota and the per-minute rate limit. Both are technically enforced by the Service. The additional rules in this section exist to protect against abuse and unauthorized resale of the data — they apply on top of, not instead of, the request quota.

8.1 Tier quotas (technically enforced)

  • Pro ($24.99/month): 5,000 requests/month, 20 requests/minute.
  • Ultra ($39.99/month): 25,000 requests/month, 60 requests/minute.
  • Enterprise ($299/month): 100,000 requests/month, 120 requests/minute.

Exceeding either limit returns an HTTP 429 Too Many Requests response and does not result in additional charges. If you need more headroom, upgrade to a higher tier.

8.2 Use scope (anti-abuse guidance, soft MAU bands)

Each tier carries a soft Monthly Active Users (MAU) band that we use as an anti-abuse signal, not as a technical limit. The MAU band describes the kind of workload the tier is priced for; we don't track MAU automatically. The hard limit is your request quota in 8.1.

  • Pro is intended for Personal Use — single-developer projects, research, prototyping, single-user automation. Allowed band: up to 50 MAU. Short-term commercial proof-of-concept testing prior to launch is permitted.
  • Ultra is intended for Commercial Use — production apps and integrations. Allowed band: up to 1,000 MAU.
  • Enterprise is intended for high-volume Commercial Use. Allowed band: up to 10,000 MAU. Above that band, contact us for a custom plan. Includes Data Processing Agreement (DPA) on request and a dedicated support contact.

If your usage stays within the request quota of your current tier and you don't redistribute the data, the MAU bands are informational — they only become an enforcement matter when 8.3 (anti-abuse) or 8.5 (detection) is triggered.

8.3 Anti-abuse and anti-resale safeguards

Regardless of which tier Customer subscribes to, Customer may not:

  • Resell, syndicate, or redistribute the data, in whole or substantial part, to third parties — directly or indirectly, including via derivative datasets — without our prior written consent.
  • Operate the Service as a proxy or relay, i.e., re-expose the EarningsCalls API to third parties under another brand or via another API gateway.
  • Fan out a single API key across many independent end-users in a manner that materially evades tier quotas (for example, routing thousands of distinct end-users' requests through one Pro plan key to avoid a higher tier).
  • Systematically scrape or bulk-download the archive in a way inconsistent with normal application use (e.g., enumerating every transcript by ID outside the cursor-based sync flow).

8.4 Definitions

  • "End User" means a natural person (or named service account acting on behalf of a natural person) who interacts with Customer's product or internal tool that in turn calls the EarningsCalls API.
  • "Monthly Active User" (MAU) means a distinct End User who, during a single calendar month, triggered at least one session resulting in one or more API calls to the Service. Each End User counts at most once per month, regardless of request volume.
  • "Personal Use" means use by a single natural person — without exposing API-derived data or features to any other End User and without integrating the API into a product, service, or feature offered to third parties (whether paid or unpaid).
  • "Commercial Use" means any use that is not Personal Use.

8.5 Detection & remediation

If we detect usage patterns indicating abuse of the request quota or unauthorized resale of the data — for example: a single Pro key serving thousands of distinct End Users; systematic redistribution or proxy-relay operation; or scraping disproportionate to normal application use — we reserve the right, in our sole reasonable judgment, to:

  • Require Customer to upgrade to a tier appropriate for the actual usage;
  • Suspend API access pending clarification;
  • Retroactively bill Customer for the appropriate tier;
  • Terminate the subscription where the conduct is unauthorized resale, redistribution, or proxy-relay operation.

Customer attests to their use case at signup and at each billing renewal. We may request a brief written description of Customer's use case if reasonable evidence of misuse exists. Where the underlying issue is excess request volume only, a tier upgrade resolves it; where the issue is unauthorized redistribution, termination may apply.

9. Payments & Subscriptions

All paid subscriptions are processed by Paddle.com as the authorized reseller and merchant of record.

9.1 API Subscriptions

  • Platform: API access (Pro, Ultra, Enterprise) is purchased through Paddle.com. Your payment contract is with Paddle, who acts as merchant of record.
  • Paddle's Terms: By subscribing you agree to Paddle's Buyer Terms in addition to these Terms of Service.
  • Cancellation: Cancel anytime via the "Manage subscription" link in your purchase confirmation email, via paddle.net, or from your earningscalls.dev dashboard. Cancellation takes effect at the end of the current billing period; API access continues until that date.
  • Refunds: Refunds are handled by Paddle in accordance with Paddle's Refund Policy. Request via paddle.net or email [email protected].

9.2 Email Newsletter

  • Merchant of Record: The email newsletter subscription ($4.99/month) is processed by Paddle.com. Your payment contract for the newsletter is with Paddle, not directly with DREAVERR Digital Solutions LLP.
  • Paddle's Terms: By subscribing to the newsletter, you agree to Paddle's Buyer Terms in addition to these Terms of Service.
  • Cancellation: Cancel at any time via the "Manage subscription" link in your purchase confirmation email, or via paddle.net. Cancellation takes effect at the end of the current billing period.
  • Refunds: Refunds are handled by Paddle in accordance with Paddle's Refund Policy. For refund requests, visit paddle.net.

10. Service Availability

We strive to maintain high availability of the Service but do not offer a contractual uptime SLA at this time. We reserve the right to perform scheduled maintenance with reasonable advance notice.

11. Changes to the Service and Terms

  • Modification Rights: We reserve the right to modify, update, or discontinue features of the API, datasets, or endpoints at any time without prior notice.
  • Updates to Terms: These Terms may be updated periodically. Users will be notified of significant changes, and continued use of the Service constitutes acceptance of the updated Terms.

12. Termination

We reserve the right to suspend or terminate access to the API, structured data, or documentation for any reason, including violation of these Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of CANADA, British Columbia, without regard to conflict of law principles.

14. Company Information

The Service is provided by DREAVERR DIGITAL SOLUTIONS LLP. earningscalls.dev and SGG Research (sggresearch.com) are brands of DREAVERR DIGITAL SOLUTIONS LLP. Payments are processed by Paddle.com as the authorized merchant of record.
